These Terms and Conditions ("Terms") govern your use of MetadevX's website and services. By accessing our website or engaging us for a project, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

In these Terms:

• "Services" refers to website development, e-commerce, web and mobile applications, UI and UX design, AI and workflow automation, and related consulting
• "Client," "you," "your" refers to the person or business using our services
• "Deliverables" refers to the designs, code, content, and other materials we produce for you
• "Website" refers to metadevx.com and all associated subdomains

2. Acceptance of Terms

By using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

3. Nature of Services

3.1 Scope of Work

MetadevX provides digital product and software services, including but not limited to:

• Design and development of websites and e-commerce platforms
• Web and mobile application development
• UI and UX design and product strategy
• AI integration and workflow automation
• Ongoing maintenance, support, and improvement of delivered products

3.2 Project Agreements

Each engagement is defined by a written proposal or statement of work that sets out the scope, timeline, deliverables, and fees. If a proposal conflicts with these Terms, the proposal prevails for that project.

4. Client Responsibilities

4.1 Information and Materials

You agree to:

• Provide complete and accurate project requirements and business information
• Supply content, brand assets, access credentials, and approvals in a timely manner
• Update us promptly if requirements or circumstances change
• Ensure you have the rights to any material you share with us

4.2 Review and Approvals

Projects depend on your feedback. Delays in reviews or approvals may affect the delivery timeline. Feedback rounds included in a project are defined in the proposal.

4.3 Lawful Use

You agree that the products we build will not be used for unlawful, deceptive, or harmful purposes, and that you will comply with the laws and regulations applicable to your business.

5. Fees and Payment

5.1 Quotes and Estimates

Quotes are based on the scope described in the proposal. Estimates provided on our website or in early conversations are indicative only and are not a binding price until a proposal is accepted.

5.2 Payment Terms

• A deposit may be required before work begins
• Remaining fees are typically invoiced at agreed milestones or on delivery
• Invoices are payable within the period stated on the invoice
• Late payments may pause work and attract reasonable administrative charges
• Applicable taxes are charged in addition to quoted fees

5.3 Third-Party Costs

Hosting, domains, software licenses, API usage, paid media, and other third-party costs are not included unless stated. You are responsible for these costs, whether paid directly or reimbursed to us.

6. Timeline and Changes

6.1 Delivery Estimates

Timelines are estimates based on the information available at the start of the project and on timely feedback from you. We will notify you of any change that affects the schedule.

6.2 Change Requests

Work outside the agreed scope ("change requests") will be quoted separately. We will not begin additional work until the change is approved in writing.

7. Cancellation and Refunds

7.1 Cancellation by Client

If you cancel a project:

• Work completed up to the cancellation date remains payable
• Deposits secure scheduled capacity and may be non-refundable once work has started
• Third-party costs already committed on your behalf are non-refundable
• Any unused prepaid amount is refunded at our reasonable discretion

7.2 Cancellation by MetadevX

If we are unable to continue a project for reasons within our control, we will refund fees for work not yet performed. We are not liable for consequential damages or expenses.

7.3 Force Majeure

Delays or cancellations due to circumstances beyond our control (natural disasters, outages, pandemics, regulatory changes) will be handled on a case-by-case basis with reasonable flexibility for rescheduling.

8. Intellectual Property

8.1 Deliverables

On full payment, you own the deliverables created specifically for your project. We retain ownership of our pre-existing tools, frameworks, libraries, and internal components, and may reuse general knowledge and techniques.

8.2 Third-Party Components

Deliverables may include open-source or licensed third-party components, which remain subject to their own licenses and terms.

8.3 Portfolio Rights

Unless agreed otherwise in writing, we may display the delivered work in our portfolio and marketing materials. We will not disclose confidential business information.

9. Confidentiality

Each party agrees to keep the other's confidential information private and to use it only for the purposes of the project. This obligation survives the end of the engagement.

10. Warranties and Disclaimers

10.1 Services Warranty

We warrant that:

• Our services will be performed with reasonable care and skill
• We will use good faith efforts to meet agreed specifications
• We will maintain confidentiality of your information

10.2 Support Period

We fix defects in delivered work that fall within the agreed scope for a period stated in the project agreement. New features, content changes, and third-party changes are handled as separate work.

10.3 Disclaimer

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC COMMERCIAL OUTCOME, TRAFFIC, RANKING, OR REVENUE.

11. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim shall not exceed the amount you paid for the services giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.

12. Indemnification

You agree to indemnify and hold harmless MetadevX, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any laws or regulations
• Content or materials you provide to us
• Inaccurate information provided by you

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Good-Faith Resolution

Before pursuing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion within 30 days of written notice.

13.3 Jurisdiction

Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

13.4 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or representative proceedings.

14. Termination

14.1 Termination by Client

You may terminate services at any time subject to the cancellation terms outlined in Section 7.

14.2 Termination by Us

We may terminate services if:

• You violate these Terms
• You provide false or misleading information
• You engage in abusive or threatening behavior
• You fail to pay required fees
• Continuing services would violate laws or regulations

14.3 Effect of Termination

Upon termination:

• Outstanding fees for completed work remain due and payable
• We will hand over completed deliverables where fees have been settled
• Confidentiality obligations continue
• Provisions intended to survive termination remain in effect

15. Third-Party Services

Projects may depend on third-party platforms, hosting providers, APIs, and plugins. We are not responsible for their availability, pricing changes, deprecations, or actions outside our control.

16. Communication

By using our services, you consent to:

• Electronic communications regarding your project
• Messaging apps and email for coordination
• Phone calls as necessary for service delivery

You may opt out of marketing communications but cannot opt out of service-related communications.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance. For material changes, we will provide additional notice.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and MetadevX regarding our services.
